Terms of Service

1. Acceptance of Terms

By accessing or using the Shiftd mobile application, web application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

Shiftd is a staff scheduling platform designed for departments and organizations managing staff schedules. The Service enables authorized users to:

• View assigned schedules and shift details
• Self-sign up for available shifts during designated windows
• Request time off, trade shifts with coworkers, and offer shifts for reassignment
• Receive administrative broadcasts and messages from department management
• Manage personal profile information and notification preferences

Shiftd is a business-to-business ("B2B") platform. Access is provided through your employer or the subscribing organization that has contracted with Shiftd. Individual users do not purchase subscriptions or make payments through the Service. All billing arrangements are between Shiftd and the subscribing organization.

3. Account Registration and Security

Invite-only access. Accounts are created exclusively through invitations issued by authorized administrators at your organization. You may not create an account without a valid invitation.

Accurate information. You agree to provide accurate and current information during registration and to keep your profile information up to date.

Account security. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify your organization's administrator immediately if you suspect unauthorized access to your account.

One account per person. Each account is for a single individual. You may not share your credentials or allow others to access your account.

4. Acceptable Use

You agree to use the Service only for its intended purpose: managing your work schedule and related communications within your organization. You agree not to:

• Attempt to access accounts, data, or systems belonging to other users or organizations
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malicious software, spam, or any harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service in violation of any applicable law, regulation, or your organization's policies
• Circumvent any access controls, authentication mechanisms, or security features

All messaging within the Service is administrator-initiated. The Service does not provide peer-to-peer messaging between staff members.

5. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the property of Shiftd and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of any personal information you provide (such as your name, contact details, and profile data). By using the Service, you grant Shiftd a limited license to use this information solely to operate and provide the Service to you and your organization.

6. Disclaimers and Limitations of Liability

Service provided "as is." The Service is provided on an "as is" and "as available" basis. Shiftd makes no warranties, express or implied, regarding the Service's availability, reliability, accuracy, or fitness for a particular purpose.

Scheduling decisions. Shiftd is a tool that facilitates scheduling workflows. All scheduling decisions, staffing levels, and shift assignments are ultimately the responsibility of your organization and its administrators. Shiftd does not provide professional, staffing, or compliance advice.

Limitation of liability. To the maximum extent permitted by law, Shiftd and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to lost wages, scheduling errors, or missed shifts. Shiftd's total aggregate liability for any claim arising from these Terms or the Service shall not exceed one hundred dollars (USD $100).

No guarantee of availability. Shiftd does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

7. Account Termination

By your organization. Your organization's administrators may deactivate or remove your account at any time in accordance with their own policies.

By you. You may request deletion of your account through the Service (Settings > Delete Account). Account deletion requests are subject to a 30-day grace period during which you may cancel the request. After the grace period, your account and associated data will be permanently deleted.

By Shiftd. Shiftd reserves the right to suspend or terminate your access if you violate these Terms or if your organization's subscription with Shiftd ends.

Effect of termination. Upon termination, your right to access the Service ceases immediately. Shiftd may retain certain data as required by law or legitimate business purposes, as described in our Privacy Policy.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

9. Changes to Terms

Shiftd may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and notify users through the Service or via their organization's administrators. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
